Terms of Service
Between the undersigned parties:
The Company ZEPHIR, operating under the trade name KEMEO, a simplified joint-stock company (SAS) with a share capital of 129,120 euros, with its registered office at 117 rue de Charenton, 75012 Paris, France, registered with the Paris Trade and Companies Register under number 808 182 521,
Hereinafter referred to as "the Provider", ON THE ONE HAND,
And the signatory Client of the contract, hereinafter referred to as "the Client", ON THE OTHER HAND.
A. Definitions
1. Solutions refers to the operational features made available to the Client through the Akrono platform.
2. Data refers to the information in the Client's database, the use of which is the subject of this contract.
3. User refers to a person under the Client's responsibility who has access to the Services.
B. Services
1. Support: online support for "Super Admin" Users provided every business day from 9:00 AM to 12:00 PM and from 2:00 PM to 5:00 PM (CET).
2. License: The Provider grants the Client a personal, non-exclusive, non-assignable and non-transferable right to use the Solutions, for the entire duration of the Contract and worldwide.
C. Commitments
This subscription takes effect on the date it is accepted and signed.
The contract shall be automatically renewed by tacit renewal on the anniversary date, unless expressly terminated.
The setup and subscription invoice is sent upon signature of the contract.
No refund shall be granted in the event of total or partial non-use of the service.
The Client has ensured they have seen a demonstration and that the features meet their needs.
Kemeo regularly updates its solution. The roadmap does not constitute a commitment.
The subscription may be terminated by registered letter six weeks before the end date.
The maximum payment term for invoices is 30 days.
The Paris courts shall have jurisdiction in the event of disputes.
D. Guarantees
The Client exclusively holds all rights to all of its Data.
Data and the solution are hosted exclusively in Europe.
The Provider commits to implementing a GDPR compliance policy.
Upon termination of the contractual relationship, the Provider commits to returning and destroying the Client's data.
